These Terms & Conditions govern your use of the website operated by Creation Systems Ltd (“Creation,” “we,” “us,” or “our”) at creation.systems.

By accessing or using this website, you agree to these Terms. If you do not agree, please do not use the website.

Creation Systems Ltd is a Canadian company based in Ontario.

Creation provides strategy, design, prototyping, development, and related consulting services.

This website provides general information about Creation, our work, and the types of services we offer.

2. Website use

You may use this website for lawful purposes only.

You agree not to:

  • interfere with the operation, security, or availability of the website;
  • attempt to gain unauthorized access to any system, server, or data;
  • copy, scrape, crawl, or extract website content in an unreasonable or automated manner;
  • use the website or its content for misleading, unlawful, harmful, or infringing purposes;
  • misrepresent your relationship with Creation.

We may restrict or block access to the website if we believe it is being used improperly.

3. Informational website only

This website is provided for general informational purposes.

Nothing on this website creates a client relationship, consulting relationship, partnership, joint venture, employment relationship, fiduciary relationship, or other professional relationship between you and Creation.

Contacting Creation through the information provided on this website does not, by itself, create a client relationship.

A client relationship begins only when Creation and the client mutually agree to work together, typically through a written proposal, statement of work, invoice, master services agreement, email confirmation, or other written agreement.

4. Services and engagements

The descriptions of services on this website are general. They do not guarantee that any particular service, result, timeline, deliverable, engagement structure, or availability will apply to your project.

Specific work for a client is governed by the applicable written agreement between Creation and that client. This may include a proposal, statement of work, invoice, master services agreement, confidentiality agreement, email confirmation, or other written terms.

If there is a conflict between these Terms and a written agreement for client work, the written agreement will govern for that client work.

5. Invoices and payment

Creation does not currently sell services directly through this website and does not currently process payments through an embedded website checkout.

When payment is required, Creation may issue an invoice by email. Invoices may include payment instructions or a payment link through Wise or another third-party payment provider.

Payment processing is handled by the applicable third-party provider and may be subject to that provider’s own terms, privacy policy, fees, currency conversion terms, availability, processing rules, and security procedures.

Creation does not collect or store full payment card details through this website.

Unless otherwise stated in a written agreement or invoice, payment terms, due dates, currency, applicable taxes, delivery expectations, cancellation terms, refund terms, and any other payment conditions are set out in the applicable invoice, proposal, statement of work, email confirmation, written agreement, or these Terms.

6. Service delivery, cancellations, and refunds

Creation provides professional services, including strategy, design, prototyping, development, and related consulting work. Creation does not sell physical goods through this website.

Service delivery

Unless otherwise stated in a written agreement, proposal, statement of work, invoice, or email confirmation, Creation’s services are delivered through professional time, communication, working sessions, written materials, design work, prototypes, software, documentation, recommendations, or other agreed work product.

Delivery timing, milestones, deliverables, review periods, dependencies, and client responsibilities are governed by the applicable written agreement, proposal, statement of work, invoice, or email confirmation.

Where an engagement depends on client input, access, feedback, approvals, materials, or decisions, timelines may change if those dependencies are delayed, incomplete, unavailable, or materially changed.

No shipping or physical delivery

Creation does not currently sell or ship physical products through this website.

Any reference to “delivery” means delivery of professional services or agreed work product, unless Creation expressly agrees otherwise in writing.

Cancellation by the client

A client may request to cancel an engagement by contacting Creation in writing.

Unless otherwise stated in a written agreement, proposal, statement of work, invoice, or email confirmation:

  • amounts paid for completed work are non-refundable;
  • amounts paid for work that has begun may be partially refundable only at Creation’s discretion, after accounting for work performed, time reserved, expenses incurred, commitments made, third-party costs, payment processing costs, and administrative costs;
  • amounts paid for work that has not yet begun may be refundable, less any non-cancellable expenses, time reserved, third-party costs, payment processing costs, or other amounts already incurred;
  • deposits, retainers, and advance payments may be non-refundable where stated in the applicable proposal, invoice, email confirmation, or written agreement.

Cancellation or rescheduling of working sessions

If a paid working session, meeting, or scheduled service is cancelled or rescheduled by the client, Creation may apply the cancellation or rescheduling terms stated in the applicable proposal, invoice, email confirmation, or written agreement.

If no specific cancellation or rescheduling terms are stated, Creation will make reasonable efforts to reschedule the session. Creation may treat fees as non-refundable where a session is cancelled on short notice, the reserved time cannot reasonably be reallocated, or preparation work has already been performed.

Cancellation by Creation

Creation may decline, suspend, or cancel work where:

  • the client does not provide required information, access, feedback, approvals, or payment;
  • the scope, assumptions, requirements, or client responsibilities materially change;
  • continuing the work would create legal, security, ethical, operational, professional, or business concerns;
  • the client requests work outside the agreed scope;
  • the client breaches these Terms or any applicable written agreement.

If Creation cancels work without cause after receiving payment, Creation will refund any portion of prepaid fees that fairly relates to work not performed, less applicable expenses, third-party costs, payment processing costs, or other amounts already incurred.

Refund method

Approved refunds will normally be returned using the original payment method where reasonably possible. Refund timing may depend on the payment provider, card network, bank, currency, or other third-party processing systems.

If payment was made through Wise or another third-party payment provider, the provider’s own terms, processing timelines, refund mechanics, fees, and currency conversion rules may also apply.

Creation does not provide cash refunds for card payments unless required by applicable law.

No automatic refund for dissatisfaction alone

Unless required by applicable law or expressly stated in a written agreement, dissatisfaction with strategic advice, recommendations, design direction, prototypes, development work, or other professional judgment does not automatically entitle the client to a refund.

Creation’s work is based on professional judgment, collaboration, available information, agreed scope, and client participation.

Project-specific terms prevail

If a proposal, statement of work, invoice, master services agreement, email confirmation, or other written agreement contains specific delivery, cancellation, refund, acceptance, or payment terms, those specific terms will prevail over this general policy for that engagement.

Nothing in this section limits any rights that cannot be limited under applicable law.

7. No licensed professional advice

Creation provides strategy, design, prototyping, development, and related consulting services.

Unless expressly agreed in a separate written agreement, Creation does not provide legal, tax, accounting, regulatory, investment, financial, or other licensed professional advice.

You are responsible for obtaining appropriate professional advice where your project, business, product, service, or decision requires it.

8. Website content and intellectual property

The website, including its text, structure, design, graphics, branding, and other content, is owned by or licensed to Creation and is protected by applicable intellectual property laws.

You may view the website and share links to it for ordinary informational purposes.

You may not copy, reproduce, modify, publish, distribute, sell, or use substantial portions of the website content for commercial purposes without Creation’s prior written permission.

All trademarks, trade names, logos, and brand elements appearing on the website belong to their respective owners.

9. Third-party links and services

This website may link to third-party websites, tools, or services, including payment providers, communication tools, or other external resources.

Third-party websites and services are not controlled by Creation. We are not responsible for their content, policies, security, availability, or practices.

Your use of third-party websites or services is governed by the terms and policies of those third parties.

10. Accuracy and availability

We aim to keep the website accurate and available, but we do not guarantee that the website will always be current, complete, secure, error-free, or uninterrupted.

We may update, remove, or change website content at any time without notice.

11. Privacy

Your use of the website is also subject to our Privacy Policy, which explains how we collect, use, disclose, retain, and protect personal information.

12. Disclaimer

The website is provided on an “as is” and “as available” basis.

Nothing in these Terms limits any rights you may have that cannot be limited or excluded under applicable law.

13. Limitation of liability

To the fullest extent permitted by law, Creation will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, revenue, business opportunity, data, goodwill, or anticipated savings, arising from or related to your use of the website.

To the fullest extent permitted by law, Creation’s total liability arising from or related to your use of the website will not exceed CAD $100.

This limitation does not apply where liability cannot be limited under applicable law.

14. Indemnity

You agree to indemnify and hold harmless Creation Systems Ltd and its directors, officers, employees, contractors, and representatives from any claims, losses, damages, liabilities, costs, and expenses arising from your misuse of the website, your violation of these Terms, or your violation of applicable law.

15. Changes to these Terms

We may update these Terms from time to time. The updated version will be posted on this page with a revised “Last updated” date.

Your continued use of the website after changes are posted means you accept the updated Terms.

16. Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario.

Any dispute arising from or related to these Terms or your use of the website will be resolved in the courts located in Ontario, unless applicable law requires otherwise.
